This document outlines the Terms and Conditions ("Terms") governing the provision of certain talent acquisition services by 360AI Ltd (Company No. 16314764) located at Unit 4 Willows Gate Stoke Lyne Road, Stratton Audley, Bicester, United Kingdom, OX27 9AU. These services are accessible through the www.360ai.io website ("Platform").
Prior to utilising the Website, Services, or Products, it is essential that you carefully review these Terms. By clicking "I accept" on behalf of a designated company or organisation (referred to as the "Client"), you affirm that the Client will be legally bound by these terms. You further affirm that you possess the necessary capacity and authority to enter into these Terms on behalf of the Client company or organisation.
Failure to accept these Terms will result in the inability to use the Platform and the Services. We recommend printing and retaining a copy of these Terms for future reference. Please note that these Terms may be subject to periodic modifications. Therefore, it is advisable to periodically revisit these Terms and review them prior to utilising the Platform and Services or Products.
Account – The account provided by 360AI to each user of our website/platform. Candidate, Candidates, Talents, Professionals, or resources – A potential Employee, Consultant, or Contractor listed by 360AI or the Client, for hiring or recruitment by the Client.
Client / Employer – A company or organisation using our service for talent acquisition and recruitment.
Contractor/Consultants – One or more individuals who offer paid professional services to Clients.
Client(s) / Employer(s) / Hirer – One or more individuals or companies using our services to facilitate the recruitment of Employees, Contractors, or Consultants.
Job(s) – One or more part-time, full-time, or contract positions posted or created by a Client on the 360AI platform.
Inactive Account – Inactive account applies to users whose Annual Membership Plan has expired and has not been renewed.
Users, Client – Clients using 360AI platform and having an active Annual Membership Plan.
We, Our, Company, Us, The Company, 360AI – Means 360AI Ltd trading as 360AI, and the services and products offered on 360AI.io platform.
Platform/Website/Site/Service/Product – Means any websites, products, and services offered and operated by 360AI Limited, including 360AI platform, subdomains, tools and applications, as well as web and mobile applications, products and services.
User Contracts – Means this User Agreement, Copyright Agreement, the Code of Conduct, Privacy Policy, or any other contractual provisions accepted by the Users of our Platform and any other materials we refer to from time to time.
The Platform is owned and operated by 360AI Limited (Company No. 16314764), a company incorporated in England and Wales, with its registered office address at Unit 4 Willows Gate Stoke Lyne Road, Stratton Audley, Bicester, United Kingdom, OX27 9AU.
360AI Ltd offers services through its registered trademark of 360AI.
360AI is a Software as a Service (SaaS) platform that specialises in talent acquisition and candidate management, specifically designed to support Human Resources (HR) professionals, in-house talent acquisition teams, and recruiters. This platform provides comprehensive tools and features to streamline the recruitment process and enhance the efficiency of talent sourcing and management.
Upon registration and completion of the onboarding with the 360AI platform, clients gain access to a range of Services designed to streamline their talent acquisition processes. 360AI Services include:
Instant Talent Finder: With the Instant Talent Finder feature, clients can leverage a powerful search tool to discover potential candidates based on their skills and qualifications, even if they have not directly applied for a job. This feature utilises both a global talent pool and the client's internal talent pool to provide recommendations of relevant candidates based on their suitability.
By using the Instant Talent Finder Service, the client hereby authorises 360AI to search for candidates within opt-in databases, including publicly available data on the internet such as social networks and candidate databases on job boards.
Candidate or Talent profiles: Access detailed profiles of candidates who have applied for your jobs through 360AI's job board or have been sourced by 360AI's Instant Talent Finder. Profiles include information such as skills, academic background, work experience, and employment history, providing valuable insights for your hiring decisions.
Data-driven analytics: Clients can gain valuable insights and a deeper understanding of specific talents through data analysis, leveraging data-driven analytics and predictive insights from talent information. This empowers clients with comprehensive market knowledge for specific roles and industries, enhancing their understanding of talent trends and dynamics.
Job creation: Easily create a Job by using our intelligent tools and instantly get a list of recommended talents from our global talent pool and also from your internal talent pool.
Enrich Talent Profile: Clients have the opportunity to enrich talent profiles using credits allocated based on their chosen package (360AI Annual Plan or Pay-as-you-go). These credits empower clients to enhance talent profiles with the latest information, leveraging data-driven analytics and AI-generated insights. Once a profile is enriched, clients can access it for a duration of six months without incurring additional credit usage. After this period, re-enriching the profile ensures clients have access to the most up-to-date information.
Smart CV Import: In addition to Enrich Profile credits, 360AI offers the Smart CV Import feature, which allows clients to effortlessly upload or connect and import candidate resumes. This feature streamlines the extraction and analysis of each uploaded resume, maximising the efficiency of 360AI. Our intelligent system thoroughly examines the details of each candidate, providing valuable recommendations from both our global talent pool and the client's imported talent pool. This ensures that clients can easily identify high-quality candidates who are actively interested in joining their organisation.
Client Onboarding and Customisation: At 360AI, we understand the importance of tailored services to meet the specific needs of each client. Our platform collects information from publicly available data sources about your organisation, and we also value the curated information provided by our Clients. By leveraging this data, our technology and platform offers targeted and customised services that align with your organisation's requirements. We strive to deliver a unique experience for every client, ensuring that our solutions are precisely tailored to your hiring and talent management needs.
Job publication and sharing: Publish and share your created jobs on 360AI across various channels, including 360AI's job board, associated networks, and social media platforms, to reach potential candidates.
API Implementation Services: Request assistance from 360AI to integrate the platform with your existing systems, leveraging the 360AI API. Additional charges may apply for these implementation services.
By accessing and using the 360AI platform, you ("Client") agree to the following terms and conditions:
Services and Data Storage Service: In exchange for the payment of 360AI Annual Membership, 360AI platform provides Clients with the following services ("Services"):
Storage Service for storing the Client's recruitment data. Facilitating clients to search, browse, screen, track, and collaboratively manage the hiring process.
Collaborators: Clients have the facility to add accounts for "Collaborators" who are the Client's employees and nominated representatives on their talent acquisition team. Collaborators can create individual user accounts to access and use the Services on behalf of the Client.
Jobs and Client Information: Clients can create "Jobs" which are descriptions of employment or contractor roles the Client is seeking to fill. The Client can also add "Client Information" related to their organisation or any Jobs.
Candidates and Profiles: Clients have the ability to view the Profile of Candidates, which includes information such as academic background, work experience, skills, and employment history.
Instant Talent Finder: Clients and Collaborators can use the search tool called "Instant Talent Finder" to search for prospective Candidates by skills and qualifications, regardless of whether they have applied for a Job.
Enrich Profile Credits: Clients can use "Enrich Profile" credits to access the full profile and view updated information about the talent, including contact details, analytics, and insights, which will consume one credit. Enrich Profile credits enable thorough talent assessment and provide access to essential details and insights aiding hiring decisions.
Smart CV Import Credits/AI Screening: Clients can use "Smart CV Import" or "AI Screening" credits to import bulk candidate resumes into the 360AI platform. The 360AI intelligent system analyses each candidate's resume's details enabling Clients to perform Smart search and get candidate recommendations filtered for their Jobs.
Limitation of Obligations: 360AI's obligations are limited to the provision of Services and do not include acting on the Client's behalf. These Terms do not establish a partnership or joint venture between the Client and 360AI, authorise either party to make commitments for the other, or appoint either party as the agent of the other.
Changes to Services: 360AI may add, modify, suspend, or cease the provision of any element of the Services upon notice to the Clients.
Availability of Services: 360AI agrees to make the Services available on a seven (7) day per week, twenty-four (24) hour per day basis, with exceptions for scheduled maintenance time, circumstances beyond 360AI's control, and permitted suspensions. In the case of planned service downtime, 360AI will use reasonable efforts to notify the Client at least 24 hours in advance.
Trial Access: Access to the Platform and the Services may be granted to the Client on a trial basis, with "Trial Credits" for accessing 360AI for a specific period and a certain number of free access credits as determined by the company. The Client acknowledges and agrees that during the Trial period, the following specific terms shall apply, in addition to all other Terms:
Registration & Collaborators: In order to use the 360AI Services, the Client shall first be required to register with 360AI.
The Client shall pay the Fees for the use of the Services in accordance with the platform’s Annual Membership Plans pricing selected by the Client and specified on the Website. The payment terms and methods will also be specified on the Website.
All Fees are exclusive of any applicable taxes, levies, or duties imposed by taxing authorities, and the Client is responsible for the payment of all such taxes, levies, or duties.
360AI reserves the right to change the Fees and pricing plans at any time, upon notice to the Client.
If the Client fails to make any payment when due, 360AI reserves the right to suspend or terminate the Client's access to the Services and the Website.
The fees for accessing 360AI and its services, referred to as 360AI Fees, are outlined on the 360AI Platform or in the Quote provided by the 360AI team.
360AI offers two primary payment options:
These plans are designed for organisations seeking to hire multiple employees over several months or a year. Annual membership plans are based on Annual Contracts, and the Client is obligated to fulfil the payment during the agreed-upon term.
Clients opting for Annual Membership Plans can choose between two payment methods:
a. Pay Upfront: By making a single payment, the Client gains access to the entire membership for a year. This upfront payment qualifies for a 20% discount on the overall membership fee for the year. The Client also receives the total number of credits included in their selected package, with the freedom to utilise them as desired within the annual contract period. Upon membership renewal, the Client will receive a new set of credits.
b. Pay Monthly: Alternatively, Clients have the option to spread the payment for their annual membership plan over 12 months. Selecting this option does not include the 20% discount, and the number of credits received will be divided and refreshed at the beginning of each month.
Clients with access to an active Annual Membership Plan can utilise the Pay as You Go option to purchase a specific number of credits or acquire additional credits if they exhaust their annual membership plan package.

360AI Service Fees shall be payable by the Client at the beginning of each subscription term, or in the manner as set out on the Platform or the 360AI Quote and in the currency identified on the Platform or the 360AI Quote, as applicable.
All Fees are exclusive of VAT and all other taxes or duties and are non-refundable and non-cancelable for any reason, except as expressly provided otherwise in these Terms.
You agree to keep your personal information, such as contact information, billing information up to date.
If you pay by credit or debit card:
If you pay by direct debit, where this payment option is supported, You authorise 360AI and its Affiliates to debit your bank account, for all Fees payable for your Membership Term and for any renewal Term and to collect any amounts due according to your Membership plan.
For payments via direct debit, you should make sure you have sufficient clear funds in your nominated account for your upcoming payment. Any amounts not collected due to lack of adequate funds, are collected in priority against any new charges as soon as your account has available funds.
For Clients on an Annual Membership Plan only, upon renewal, 360AI reserves the right to increase the Fees up to an amount of 5 to 10% from the effective rates in the preceding term for the same plan and pricing tier (e.g., to cover product improvements, new features, inflation, etc.) Renewal price is also subject to change if your company’s size changes substantially, by applying the then current pricing tier based upon the company’s size at the time of renewal. 360AI will provide you with notice via email at least 30 days in advance for your upcoming renewal and any change in the Fees applicable.
The Client has the right to terminate the Contract with 360AI at any time by providing written notice.
To provide clarity, the following termination conditions apply:
Clients subscribed to Annual Membership Plans who have made an upfront payment can terminate the contract at any time. Upon termination, Clients will retain access to the remaining credits available in their Annual Membership Plan until the end of the contract period. The Client's account will not be automatically renewed at the end of the Contract.
Clients with a Pay Monthly subscription on an Annual Membership Plan must fulfil the total payment for any remaining months in their contract to terminate the agreement. After completing the payment for the remaining months, the Client can terminate the contract.
Pay-as-You-Go credits are accessible as long as a client maintains an active Annual Membership Plan on the 360AI platform. Upon termination or cancellation of the Annual Membership Plan, clients will lose access to their account and any remaining Pay-as-You-Go credits. However, Pay-as-You-Go credits will be rolled over to the next year's agreement if the Annual Membership Plan is continued.
The Clients and Users shall, and shall ensure that its Collaborators shall, at all times use the Services and the Website in accordance with these Terms.
The Clients and Users shall ensure that its use of the Services and/or the Platform, including the submission of any information, data, images, videos, audio, files, links to external websites, communication between Collaborators and with Candidates, and all other material of any format:
Is not offensive, illegal, inappropriate, or in any way:
The Client shall not use the 360AI Platform for:
The Clients and Users hereby indemnifies 360AI for all losses, liabilities, costs, and expenses (including but not limited to legal costs) suffered or incurred by 360AI, which arise directly or indirectly from a breach by the Client of this clause.
Unless otherwise explicitly stated by 360AI, 360AI does not vet, verify the accuracy, correctness, and completeness of, edit or modify any Submissions or any other information, data, and materials created, used, and/or published by the Client on the Platform to determine whether they may result in any liability to any third party.
The Clients and Users warrants that it has the right to use all such information and material.
360AI may enhance the Profile by using data related to the Candidate obtained from third parties. Such additional information may include links to any social media websites used by 360AI to enhance the Profile. In such circumstances, 360AI does not vet, verify the accuracy, correctness, and completeness of such data used to enhance the Profile, and no guarantee is given that any enhancements to the Profile will be error-free or ultimately achieve any enhancement to the Profile. It is the responsibility of the Client to verify the accuracy of such information before making any hiring decisions.
360AI reserves the right to refuse to publish any Submissions or to remove or edit a Submission (in whole or in part) at any time if 360AI has reason to believe that the Client's use of the Services and/or the Platform breaches these Terms.
The Clients and Users shall not:
360AI takes breaches of the Terms, and in particular, this clause, seriously and reserves the right to take any action it deems necessary, including without limitation, suspension or termination of the Client's use of the Services and/or access to the Website.
360AI Ltd trading as 360AI platform retains all intellectual property rights related to the Services and the Platform, including the Software incorporated into the Platform. These works are protected by copyright laws and international treaties. Nothing in these Terms transfers any of the Software, Website, or Platform rights from 360AI to the Client. All rights, title, and interest in and to the Software and the Platform remain exclusively with 360AI and/or its licensors. Any rights not expressly granted to the Client are reserved by 360AI and its relevant third-party licensors.
The Client warrants that it owns or possesses the necessary rights or licences to use the intellectual property rights in the Client Information, Jobs, and all information and materials provided to 360AI. By using the Services, the Client grants 360AI a perpetual, sublicensable, worldwide, royalty-free licence to publish and make available on the Website the Client Information, Jobs, and all other information and materials provided by the Client for the purpose of providing the Services to the Client. The Client indemnifies 360AI against all losses, liabilities, costs, and expenses arising from any infringement of intellectual property rights resulting from the use or possession of the Client Information, Jobs, and other materials provided by the Client.
The Client acknowledges and agrees that all intellectual property rights in the Services, the Website, and any data, information, materials, and content provided therein are owned by or licensed to 360AI.
The Data Storage Service shall continue after the date of termination of the Services until the Client notifies 360AI in writing that all data of the Client is to be erased. 360AI may terminate the Storage Services at any time after the termination of the Contract, but not earlier than 90 days after the termination of Services, and as required for compliance with applicable law.
360AI shall be entitled to suspend and/or terminate the Client’s access and use of the Platform and/or all or part of the Services or the Storage Service under the following circumstances:
Upon termination of the Client’s Contract in accordance with this clause, the Client may no longer access or use the Services and the Website.
In the event of termination by 360AI that is not due to any breach by the Client (including but not limited to any termination pursuant to these Terms), 360AI shall refund to the Client all Fees paid in advance for Services not provided by 360AI.
Save as set out in the preceding sub-clause, Fees paid in advance by the Client are non-refundable.
Compliance with Data Protection Laws: The Client and 360AI shall ensure full compliance with all applicable data protection and privacy laws and regulations, including but not limited to the EU General Data Protection Regulation 2016/679 ("GDPR"), the UK General Data Protection Regulation ("UK GDPR"), the UK Data Protection Act 2018, and the California Consumer Privacy Act ("CCPA"). This compliance extends to all successor legislation and regulations.
Personal Data Processing: 360AI acts as a data controller under the Data Protection Laws and processes personal data in the course of providing the Services. The processing of personal data is carried out in accordance with 360AI's Privacy and Cookies Notice. For Candidate data, processing is carried out in accordance with 360AI's Privacy Policy. The Client shall include provisions in its Privacy Notice, substantially similar to 360AI's Privacy Policy, to comply with the Data Protection Laws.
Data Processor Obligations: In cases where 360AI processes personal data as a data processor on the Client's behalf, 360AI agrees to:
Data Breach Notification: In the event of accidental or unlawful destruction, loss, alteration, unauthorised disclosure, or access to personal data, 360AI will notify the Client in writing without undue delay, as required and permitted by applicable law.
Purpose and Scope of Processing: 360AI processes personal data as a data processor to provide the Services that enable the Client to manage its recruitment process. The types of personal data include but are not limited to names, email addresses, and addresses collected by the Client through the use of the Services.
Termination and Data Deletion: Upon termination of the Services, 360AI shall, at the Client's choice and upon the Client's written request, either return or delete the Client's Personal Data, unless further storage is required or authorised by applicable law.
Candidate Consent and Data Deletion: Candidates have the right to withdraw their consent to the use of their personal data at any time. If a Candidate exercises this right, 360AI will promptly notify the Client, and the Client must delete all information and data related to that Candidate from 360AI's systems. Failure to comply within a reasonable time may result in 360AI removing such personal data, and the Client shall not hold 360AI liable for any loss or damage arising from the removal of the data.
Sub-processing: The Client acknowledges and agrees that 360AI may engage sub-processors to assist in providing the Services. 360AI shall ensure that any sub-processor it engages provides sufficient guarantees to implement appropriate technical and organisational measures to meet the requirements of Data Protection Laws. The Client authorises the use of sub-processors by 360AI.
Cross-Border Data Transfers: If the transfer of personal data involves a transfer outside the European Economic Area (EEA) or the UK, 360AI shall ensure that adequate safeguards are in place to protect the personal data in accordance with Data Protection Laws. Such safeguards may include using standard contractual clauses approved by the European Commission or other appropriate mechanisms.
Governing Law and Dispute Resolution: Any disputes arising out of or in connection with this Data Processing, Privacy, and Confidentiality clause shall be governed by and construed in accordance with the laws of the jurisdiction specified in the main agreement. The parties agree to use their best efforts to settle any disputes amicably. If a resolution cannot be reached, the parties submit to the exclusive jurisdiction of the courts specified in the main agreement.
Survival: The obligations and rights under this Data Processing, Privacy, and Confidentiality clause shall survive the termination or expiration of the main agreement to the extent necessary for their full discharge or enforcement.
The Client hereby warrants that: (a) The Client has the right and capacity to enter into and be bound by these Terms. (b) The Client shall comply with all applicable laws regarding the Client's use of the Services and the Platform. (c) The Client agrees to abide by the rules and reasonable directions of 360AI relating to the Platform as may be provided by 360AI from time to time.
360AI warrants that the Services shall be provided with reasonable care and skill in the manner which would reasonably be expected from an experienced provider of similar services.
360AI relies on other service providers (such as network providers, data centres, telecommunication providers, payment service providers) to make the Services and the Platform available to the Client. Whilst 360AI takes all reasonable steps available to it to provide the Client with a good level of service, 360AI does not guarantee that such service shall be fault-free or uninterrupted at all times. 360AI, therefore, shall not be liable in any way for any losses the Client may suffer as a result of delays or failures of the Services and Website as a result of 360AI's service providers.
Except as expressly set out herein, to the maximum extent permitted by law, 360AI expressly excludes all representations, warranties, obligations, and liabilities in connection with the Services and the Platform, including but not limited to the warranties of merchantability, non-infringement of intellectual property, accuracy, completeness, fitness for a particular purpose, and any warranties arising by statute or otherwise in law or from the course of dealing, course of performance, or use of trade are hereby excluded and disclaimed.
360AI may display or provide links or other interaction with third-party websites and third-party advertising banners on the Platform ("Third-Party Websites"). In particular, the Services may also provide the Client with the opportunity to: (i) Connect and publish Jobs and other Client Information through Third-Party Websites. (ii) Undertake People Search Services on the Third-Party Websites. (iii) Use other third-party services such as social and business networking sites.
Use of any such Third-Party Websites and services shall be at the risk of the Client and are not the responsibility of 360AI. 360AI accepts no liability for the availability, suitability, reliability, or content of such third-party websites and does not endorse the views expressed within them. All use of the Third-Party Websites is subject to the terms and conditions of the Third-Party Website provider.
Payment Processing (Stripe)
All payment processing services made available through our platform are provided by Stripe Payments Europe, Limited (“Stripe”) and are subject to the Stripe Services Agreement and, where applicable, the Stripe Connected Account Agreement (together, the “Stripe Terms”). These may be amended by Stripe from time to time.
By using our platform to make or receive payments, you agree to be bound by the Stripe Terms, which are incorporated into these Terms of Service by reference. You must comply with the Stripe Terms and provide accurate and complete information to us and to Stripe as required for the provision of payment services.
You authorise us to share any necessary business, personal, and transaction information with Stripe for the purpose of processing payments, complying with legal requirements (including anti-money-laundering regulations), and performing fraud prevention and security checks.
We do not control and are not responsible for Stripe’s performance, actions, or omissions. Stripe is an independent third-party payment processor. We are not liable for any issues arising from Stripe’s service, including delays, payment failures, refunds, reversals, or unauthorised transactions. Your use of Stripe’s services is entirely at your own risk and subject to the Stripe Terms.
If Stripe alters or discontinues any of its services, terms, or policies in a way that affects your use of the platform, we may modify our payment features or these Terms accordingly. Where possible, we will provide notice of material changes.
Email and Messaging Integrations (Unipile)
Our platform allows you to connect and manage email accounts (including but not limited to Gmail and Outlook) using the third-party connector service Unipile SAS (“Unipile”). The integration is provided via Unipile’s technology and is subject to the Unipile Terms of Use and the applicable terms of your email provider (e.g. Google or Microsoft).
By enabling the email integration, you grant us and Unipile permission to access, retrieve, transmit, store, and process the content of your connected email accounts (including messages, metadata, and attachments) solely for the purpose of operating and improving the platform’s features. You remain responsible for ensuring that your use of the integration complies with your email provider’s terms and any applicable law.
We and Unipile process such data in accordance with our respective privacy and security obligations. For more information on how your data is handled, please refer to our Privacy Policy and Unipile’s own privacy policy.
The email integration depends on Unipile and your chosen email provider’s infrastructure and API access. We make no warranty that these integrations will be uninterrupted or error-free. We are not liable for any loss, delay, data unavailability, or damages arising from Unipile’s service, your email provider’s actions (including revoking access or suspending your account), or any technical failure outside our control.
If Unipile, Google, Microsoft, or any other relevant provider modifies or suspends its services or APIs, we may suspend or modify our integrations accordingly, without liability to you.
Third-Party Services
Stripe and Unipile are independent third-party service providers. We do not endorse, guarantee, or control their operations. Your use of our platform constitutes acknowledgement that such services are provided “as is” and subject to their own contractual terms.
The terms of Stripe and Unipile (and other relevant third-party providers) are hereby incorporated into these Terms of Service by reference. By accepting these Terms, you also agree to comply with and be bound by those third-party terms as they apply to your use of the corresponding services.
We reserve the right to replace or add new third-party providers to deliver our services. Any significant change will be notified through an updated version of these Terms.
Data Protection and Privacy
We process personal data in accordance with applicable data-protection laws (including the UK GDPR and EU GDPR where applicable). When you use our payment or email integration features, certain data may be processed by third-party providers (Stripe and Unipile). Each provider acts as an independent controller for the data it processes under its own privacy policy.
The Client is permitted to print one copy and download extracts of any pages from the Platform solely for their recruitment use. The Client may also draw the attention of other users to Jobs or materials posted on the Platform. However, the Client must not use any part of other users' submissions or materials on the Platform for purposes other than accessing the Platform or deriving benefits from the Services in accordance with these Terms.
The following actions are strictly prohibited for the Client and its Collaborators:
(i) Modifying, translating, creating derivative copies of, or copying the Software or the Website, in whole or in part.
(ii) Reverse engineering, decompiling, disassembling, or attempting to extract the source code of the Software or the Website.
(iii) Distributing, sublicensing, assigning, sharing, timesharing, selling, renting, leasing, transmitting, granting a security interest in, or otherwise transferring the Software or the Client's right to use the Software or the Website.
This indemnification provision constitutes the Client's sole and exclusive remedy, and the sole and exclusive liability of 360AI and its affiliates, with respect to any claims of infringement or misappropriation of third-party intellectual property rights.
The Client and Users agrees to indemnify and hold 360AI harmless against any claims, damages, losses, liabilities, costs, and expenses arising out of or related to the Client's breach of its obligations under the Data Protection Laws or this agreement.
Responsibility of Platform Visitors and Users:
A User's Responsibilities: A User shall not use, and shall not allow any person to use, the Platform or Services in any way that violates a local or international law, regulation, or ordinance, or for any disruptive, tortious, or illegal purpose, including but not limited to harassment, slander, defamation, data theft or inappropriate dissemination, or improper surveillance of any person. The User represents and warrants that:
Waiver: If 360AI fails to insist upon strict performance of its obligations under these Terms or fails to exercise any of the rights or remedies to which it is entitled under these Terms, it shall not constitute a waiver of such rights or remedies, nor relieve the Client from complying with its obligations. Any waiver by 360AI of any provision of these Terms must be expressly stated in writing to be a waiver and communicated to the Client.
Contact Information: All notifications and communications to 360AI should be sent to the contact details provided on the Website and from the Client’s email registered on the 360AI Platform.
Severability: If any provision of these Terms is deemed invalid, unlawful, or unenforceable by a competent authority, such provision shall be severed to the extent necessary, without affecting the validity or enforceability of the remaining provisions, which shall continue to be binding and enforceable to the fullest extent permitted by law.
Entire Agreement: The Client acknowledges that in entering into these Terms, it has not relied on any representations, undertakings, or promises given by or implied from anything said or written, whether on the Website, the Internet, or in negotiations between the parties, except as expressly set out in these Terms.
Client Identification and Promotion: The Client agrees that 360AI may identify the Client as a user of the Software and use the Client's trademark and/or logo: (i) in sales presentations, promotional/marketing materials and communications, and press releases, and (ii) to develop a brief Client profile for promotional purposes on 360AI's website.
360AI reserves the right to modify these Terms at any time by revising them on the Website, provided that such modifications do not materially change the overall functionality of the Services or substantially diminish the Client's rights while creating substantial Client obligations. Any changes made to these Terms in the future will be notified and made available to Clients who have subscribed to receive notifications.
As per UK AML regulation, 360AI is unable to support users from North Korea, Iran, Syria, Cuba, Sudan (Republic of Sudan or North Sudan), South Sudan (Republic of South Sudan), and the Region of Crimea.
Other persons or organisations which may be restricted from using our services are those connected to, or working on behalf of the governments of Belarus (Republic of Belarus), Russian Federation, Venezuela (Bolivarian Republic of Venezuela), and Zimbabwe (Republic of Zimbabwe).
Please note, we may occasionally have to restrict access to other countries or regions (not currently listed above), as per sanctions laws and restrictions which may be set by the United Nations, European Union, United Kingdom, and/or United States.
This Contract shall commence on the Effective Date specified on the Platform or the 360AI Quote and shall continue for the duration of the Client's subscription length. The Contract shall automatically renew on each anniversary of the Effective Date for successive terms of one (1) year, unless the Client notifies 360AI in writing at least 30 days prior to the anniversary of its intention not to renew the Services.
For Self-Service Clients, this applies unless they cancel their subscription on the Platform. This statement applies to Annual Membership Plans for 360AI with a duration of one year or more.
These Terms shall be governed by and construed in accordance with English law. Any disputes arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the English courts.
If you have discovered a security breach or threat on our Platform or your personal Account, you must notify us immediately by contacting our Systems Security Team via email at support@360AI.com. For the purposes of the security of your personal information and the security of other Users and our Platform, you must keep your User Account details safe and must not share these details with any third party.
360AI provides a secure financial transactions process, by way of 3D Secure Payment protocols. 3D Secure protocols ensure that all Online User Credit and Debit Card transactions are authenticated with the Issuing Bank, in real-time. This process will better guarantee the security and safety of the Client's personal and financial details and help prevent financial and ID theft frauds, Online. You agree that Teams Network Limited holds no liability for any damages or losses resulting from you sharing your Account information with third parties.
If prompted, Users must provide a valid email address to the Platform, at which email address the User can receive messages. A User must also update the Platform if that email address changes. The Platform reserves the right to terminate any User account and/or User access to the Platform if a valid email is requested but is not provided by the User. If the Platform prompts or allows a User to create a username or profile, Users agree not to pick a username or provide any profile information that would impersonate someone else or that is likely to cause confusion with any other person or entity. The Platform reserves the right to cancel a User account or to change a username or profile data at any time.
Similarly, if the Platform allows comments or user input or prompts or allows a User to create an avatar or upload a picture, the User agrees not to use any image that impersonates some other person or entity, or that is otherwise likely to cause confusion. You are responsible for protecting your username and password on the Platform, and you agree not to disclose it to any third party. We recommend that you use a password that is more than eight characters long. You are responsible for all activity on your account, whether or not you authorised it. You acknowledge that if you wish to protect your interactions with the Platform, it is your responsibility to use a secure encrypted connection, virtual private network (VPN), or other appropriate measures. The Platform’s own security measures are reasonable in terms of their level of protection, but are not helpful if the interactions of you or any other User with the Platform are not secure or private.
To the maximum extent permitted by law, the site provides the services “as is,” with all faults. The site does not warrant uninterrupted use or operation of the services, or that any data will be transmitted in a manner that is timely, uncorrupted, free of interference, or secure. The site disclaims representations, warranties, and conditions of any kind, whether express, implied, written, oral, contractual, common law, or statutory, including but not limited to any warranties, duties, or conditions of merchantability, fitness for a particular purpose, title, non-infringement, or that may arise from a course of dealing or usage of trade.
You agree that from time to time your User Account and contact details will be used to receive notices and information from us regarding our Services/Platform via electronic communication. You may withdraw from this feature by going to your Account Settings. Please note that in some cases, this may result in suspension or termination of your User Account.
You agree that you will not advertise an external website or service on our Platform. Any links to external websites posted on our site must be solely related to a project. Doing otherwise may result in the removal of your content and suspension of your User Account.
From time to time, we may display your company/business name, logo, images, and other media as part of our marketing materials relating to our website and services. If you do not wish for us to use this information, you must explicitly request that we do not do this, following which we must agree to this in writing. We may also use the content of your profile information on our Platform for marketing purposes. Similar to the above point, if you do not wish for us to use this information, you must explicitly request that we do not do this, following which we must agree to this in writing.
You agree that we may undertake certain steps for verification of your identity. These may include asking you for proof of identification documents (such as copies of your Passport or Driver’s License) and other photographic forms of identification. This is to ensure the safety and security of our service Users as well as the safety and security of our systems and Platform and our obligations to follow the anti-money laundering law.
You acknowledge that 360AI Limited is the sole owner of this website and as such, we reserve all the rights to the services provided by this Platform. By using our services, you agree not to breach, infringe or attempt to manipulate the terms set in this User Agreement. We may suspend or close your Account at any time and without prior notice if we determine that you have infringed any of the terms of this Agreement. We may also refuse our services to any party that we determine is a potential threat to our Users or our Platform security and services.
Your information will be used in accordance with our Privacy Policy which governs our collection and use of User information. The User understands that through his or her use of the Platform and its Services, the User consents to the collection and use (as set forth in the Privacy Policy) of the information, including the transfer of this information to the government of United Kingdom and/or other countries for storage, processing and use by the Platform.
The Platform may make certain communications to some or all Users, such as service announcements and administrative messages. These communications are considered part of the Services and a User’s account with the Platform, and Users are not able to opt out of all of them. If you object to your information being used as set out in our policy, you must avoid using our site and services.
360AI's liability to the Client under or in connection with these Terms, whether in contract, tort (including negligence), breach of statutory duty, or otherwise, shall be limited to the amount of Fees paid by the Client to 360AI in the twelve (12) month period immediately preceding the event giving rise to the liability.
360AI shall not be liable to the Client for any loss of profits, loss of business, depletion of goodwill, similar losses, loss of anticipated savings, loss of goods, loss of contract, loss of use, loss of corruption of data or information, or any special, indirect, consequential, or pure economic loss, costs, damages, charges, or expenses.
The Platform shall not be liable for indirect, special, incidental, consequential, exemplary, or punitive damages of any kind, including but not limited to lost profits (regardless of whether we have been notified that such loss may occur) or exposure to any third-party claims by reason of any act or omission. The Platform shall not be liable for any act or omission of any third party involved with the services, Platform offers, or any act by Platform users. The Platform shall not be liable for any damages that result from any service provided by, or product or device manufactured by, third parties.
Notwithstanding any damages that a user may suffer for any reason, the entire liability of the site in connection with the site or services, and any party's exclusive remedy, shall be limited to the amount, if any, actually paid by the user to the site owner during the 12 months prior to the event that the user claims caused the damages.
The Platform shall not be liable for any damages incurred as a result of any loss, disclosure, or third-party use of information, regardless of whether such disclosure or use is with or without the User's knowledge or consent. The Platform shall have no liability for any damages related to the User's actions or failures to act, the acts or omissions of any third party, including but not limited to any telecommunications service provider, or events or causes beyond the Platform's reasonable control. The Platform has no obligations whatsoever and shall have no liability to any third party who is not a User bound by these Terms. Limitations, exclusions, and disclaimers in these Terms shall apply to the maximum extent permitted by applicable law, even if any remedy fails its essential purpose.
Subject to the clauses above, the maximum aggregate liability of 360AI (including its respective agents, subcontractors, or representatives) under, arising from, or in connection with the provision of the Services and/or these Terms, whether arising in contract, tort (including negligence), or otherwise (including for contractual liability under any indemnity provided by 360AI), shall not exceed a sum equivalent to the total Fees received by 360AI for a period of twelve (12) months preceding the event giving rise to liability.

If any provision of these Terms is found to be invalid, illegal, or unenforceable, the remaining provisions shall continue in full force and effect.
No failure or delay by either party in exercising any right or remedy provided under these Terms shall operate as a waiver of that or any other right or remedy.
These Terms shall be governed by and construed in accordance with the laws of the jurisdiction specified in the Terms, and the parties submit to the exclusive jurisdiction of the courts of that jurisdiction.
